These Terms of Service ("Terms") govern your access to and use of the Stratum Financial Partners client portal and related services (collectively, the "Services") provided by Stratum Financial Partners LLC ("Stratum," "we," "our," or "us"), an Illinois limited liability company. By accessing or using the Services, you agree to be bound by these Terms.
Stratum provides bookkeeping, fractional CFO, and financial planning and analysis (FP&A) services to business clients. The client portal provides you with access to your financial data, reports, and communications with your assigned Stratum partner. Specific services are governed by a separate written engagement agreement between you and Stratum. In the event of any conflict or inconsistency between these Terms and your executed engagement agreement, the terms of the executed engagement agreement shall strictly govern and control.
Stratum Financial Partners is not a licensed CPA firm and does not provide audit, attest, or income tax return preparation services.
To access the portal, you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at erin@stratumfp.com if you suspect unauthorized access to your account.
The portal may connect to your QuickBooks Online account via Intuit's API with your explicit authorization. You represent that you have the authority to grant this access. You may revoke this authorization at any time from within your QuickBooks Online account settings. Stratum uses this access solely to provide the Services described in your engagement agreement.

Fees for Stratum's services are set forth in your engagement agreement. All fees are due in accordance with the payment terms specified therein. Stratum reserves the right to suspend portal access in the event of non-payment.
Stratum will treat all client financial data as confidential and will not disclose it to third parties except as necessary to perform the Services, as required by law, or with your explicit consent. We maintain reasonable security measures to protect your confidential information.
All software, design, and content comprising the Stratum portal and website are owned by Stratum Financial Partners LLC. Your financial data remains your property. You grant Stratum a limited license to access and use your data solely to perform the Services.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. STRATUM DOES NOT WARRANT THAT THE PORTAL WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. STRATUM DOES NOT GUARANTEE CONTINUOUS, UNINTERRUPTED, OR SECURE ACCESS TO THE PORTAL, AND OPERATION OF THE PORTAL MAY BE INTERFERED WITH BY NUMEROUS FACTORS OUTSIDE OF OUR CONTROL, INCLUDING THIRD-PARTY SOFTWARE OUTAGES, INTERNET SERVICE DISRUPTIONS, OR ACTS OF GOD.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRATUM FINANCIAL PARTNERS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. STRATUM'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO STRATUM IN THE THREE MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless Stratum Financial Partners LLC and its affiliates, managers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any third-party rights.
Either party may terminate portal access or the engagement agreement upon written notice in accordance with the terms of the engagement agreement. Upon termination, your access to the portal will be disabled. Stratum will retain records as required by applicable law and our record-keeping obligations.
These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in DuPage County, Illinois, and you consent to the personal jurisdiction of such courts.
We may update these Terms from time to time. We will notify you of material changes by updating the effective date above or by direct communication. Continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
The failure of Stratum to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
